Any investment in Shift Capital is strictly reserved to professional investors as defined by MIFID II (Directive 2014/65/UE).

2. SFDR disclosure

Article 4 of the EU Regulation on Sustainability-Related Disclosures in the Financial Services Sector (Regulation 2019/2088) (the “SFDR”) provides a framework designed to provide transparency in relation to the adverse impacts of investment decisions on sustainability factors.

According to article 4 of the EU Regulation on Sustainability-Related Disclosures in the Financial Services Sector (Regulation 2019/2088), Financial market participants (such as Shift Capital) are required to indicate whether they consider the adverse impacts of investment decisions on sustainability factors and, if so, to disclose certain information.

Shift Capital, at the present time, according to article 4.1.b, does not, when making investment decisions, consider the adverse impacts of decisions on sustainability factors within the meaning of Article 4 of the SFDR, as it does not consider that such reporting is adapted to Digital Assets. Shift Capital will keep its position in this respect under review as reporting practices develop and may adopt the Article 4 framework in the future if it considers that to be practical and appropriate to do so.
